These Terms of Service (“Terms”) govern your access to and use of Orqis (“Orqis”, “we”, “us”), a tool for placing bulk orders on Shopify (the “Service”). By accessing or using the Service, you agree to these Terms. If you are using the Service on behalf of a company, you represent that you are authorized to bind that company.
1. The Service
Orqis lets brands and their teams connect a Shopify store and place bulk barter, gifting, and collaboration orders from a spreadsheet or product catalog. We provide the software; you remain responsible for the orders you choose to place and their consequences.
2. Accounts and access
- Access is provided by invitation. Your platform admin or workspace owner creates accounts and assigns seats and roles.
- You are responsible for keeping your login credentials confidential and for all activity under your account. Change any temporary password we send you on first sign-in.
- You must provide accurate information and promptly update it as needed.
3. Your Shopify store and data
- You authorize Orqis to access your connected Shopify store using the credentials you provide, solely to perform the actions you initiate (such as creating and completing orders).
- You are responsible for complying with Shopify's terms and policies, and for ensuring you have the right to upload and use any recipient/customer data and to place orders to those recipients.
- You are responsible for the accuracy of the data you upload (addresses, quantities, discounts) and for reviewing batches before placing them.
4. Acceptable use
You agree not to:
- Use the Service for unlawful, fraudulent, or abusive purposes;
- Place orders you are not authorized to place, or upload data you do not have the right to use;
- Attempt to gain unauthorized access to the Service, other workspaces, or related systems;
- Interfere with or disrupt the integrity or performance of the Service;
- Reverse engineer or resell the Service except as permitted by law or written agreement.
5. Fees
Access to Orqis is provided under the commercial terms agreed between you and us. We may suspend or limit access for non-payment or violation of these Terms.
6. Intellectual property
The Service, including its software, design, and branding, is owned by Orqis and protected by applicable laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. Your data remains yours.
7. Disclaimer of warranties
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that every order will be placed successfully. You are responsible for verifying order outcomes.
8. Limitation of liability
To the maximum extent permitted by law, Orqis will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amounts you paid us for the Service in the three (3) months preceding the claim.
9. Indemnification
You agree to indemnify and hold Orqis harmless from claims, damages, and expenses arising from your use of the Service, your data, the orders you place, or your violation of these Terms or applicable law.
10. Suspension and termination
We may suspend or terminate access if you violate these Terms, for non-payment, or to protect the Service or other users. You may stop using the Service at any time. Upon termination, your right to use the Service ends; certain provisions survive termination by their nature.
11. Governing law
These Terms are governed by the laws of India, without regard to conflict-of-law principles. The courts located in India will have exclusive jurisdiction over disputes arising from these Terms or the Service, unless otherwise required by applicable law.
12. Changes to these Terms
We may update these Terms from time to time. We will revise the “Last updated” date above and, where appropriate, notify you. Continued use after changes take effect constitutes acceptance.
